Terms of Service
Effective Date / Last Updated: August 31, 2026
These Terms of Service ("Terms") govern your use of the Nox Forge Labs website and any services provided by Nox Forge Labs ("Nox Forge Labs," "we," "us," or "our"). Nox Forge Labs operates from Tijuana, Baja California, Mexico.
By accessing this website, requesting services, approving a proposal, submitting payment, or otherwise engaging Nox Forge Labs, you agree to these Terms.
1. Services
Nox Forge Labs provides digital and technology services that may include:
- Website design and development
- Custom software and CRM development
- Business automation
- AI integrations and AI-assisted systems
- API integrations
- Search engine optimization (SEO)
- Website maintenance
- Technical consulting
- Related digital services
The exact scope, features, deliverables, pricing, and timeline for a project will be defined in the applicable proposal, estimate, invoice, project specification, written communication, or other agreed project documentation.
2. Project Scope
Services are limited to the scope agreed upon for the project. Requests that materially change or expand the original scope may require additional fees, a revised timeline, a separate project, or written approval before additional work begins. Nox Forge Labs is not required to perform work outside the agreed scope without additional agreement.
3. Client Responsibilities
Clients are responsible for providing accurate and timely information, content, credentials, approvals, feedback, files, access, and other materials reasonably required to complete the project. Delays caused by missing information, delayed approvals, unavailable credentials, third-party access issues, or lack of client response may extend project timelines. The client represents that they have the legal right to provide any materials, logos, images, text, databases, credentials, trademarks, or other content supplied to Nox Forge Labs.
4. Payments
Pricing and payment schedules will be stated in the applicable proposal, invoice, payment plan, or other project documentation. Unless otherwise agreed in writing, payments are due according to the dates and amounts shown on the applicable invoice or payment request. Work may be paused if required payments become overdue. Third-party costs, including hosting, domain registration, software licenses, APIs, cloud services, messaging services, payment-processing fees, or other external services, may be billed separately unless expressly included in the project scope.
5. Deposits, Cancellation, and Refunds
If a project requires a deposit or initial payment, work may not begin until that payment is received.
Once work begins, amounts attributable to work already completed, development time already reserved for the project, and non-recoverable third-party costs already incurred on the client's behalf are non-refundable.
If the client cancels a project, the client remains responsible for payment for work already performed and for any third-party costs already committed on the client's behalf.
Prepaid amounts covering work that has not yet been performed may be refundable, after deducting amounts properly earned for completed work and any non-recoverable costs already incurred.
If Nox Forge Labs cancels a project through no fault of the client, any unearned prepaid amount will be returned to the client, as applicable.
Any specific refund or cancellation terms stated in a proposal or agreement for a particular project will control for that project.
6. Payment Processing (Stripe and Other Third Parties)
Payments may be processed through third-party payment providers such as Stripe or other payment processors. Nox Forge Labs does not directly store full payment-card information when payments are processed by a third-party payment provider. Use of those payment services may also be subject to the payment provider's own terms and privacy policies.
7. Chargebacks and Payment Disputes
Clients should contact Nox Forge Labs first regarding billing concerns so that the issue can be reviewed. Submitting a payment dispute or chargeback does not automatically cancel amounts legitimately owed for completed or authorized work. Nox Forge Labs may provide project records, invoices, approvals, communications, delivery records, or other relevant evidence to the payment processor when responding to a dispute.
8. Project Timelines
Any timeline or estimated completion date is an estimate unless expressly guaranteed in a separate written agreement. Timelines may change because of client delays, changes in scope, third-party services, technical limitations, vendor outages, security issues, unexpected software behavior, or other circumstances reasonably outside Nox Forge Labs' control.
9. Client Approval
Clients may be asked to review designs, features, content, configurations, or milestones. Approval may be provided through email, project systems, written messages, payment approval, or other documented communication. Once a milestone or deliverable is approved, substantial later changes may be treated as additional scope.
10. Third-Party Services
Projects may rely on third-party platforms, hosting providers, APIs, software, plugins, libraries, payment processors, telecommunications providers, AI providers, or other external services. Nox Forge Labs does not control these third parties and is not responsible for outages, pricing changes, policy changes, discontinued services, security incidents originating from those services, API changes, account suspensions, or functionality removed or modified by the third party.
11. Software and Technical Limitations
Software can contain defects, incompatibilities, or unexpected behavior. Reasonable testing may be performed before delivery, but Nox Forge Labs does not guarantee that software will be completely error-free or compatible with every future device, browser, operating system, library, service, or third-party platform.
12. Artificial Intelligence
Some services may include AI-assisted features or may use artificial intelligence during development. AI-generated or AI-assisted outputs may occasionally be inaccurate, incomplete, unexpected, or inappropriate for a particular purpose. Where an AI system makes recommendations, drafts content, analyzes information, or automates tasks, the client remains responsible for reviewing material decisions or outputs before relying on them when human review is reasonably appropriate. Nox Forge Labs does not guarantee that any AI system will produce identical or perfectly accurate results on every request.
13. SEO and Business Results
SEO, marketing, automation, AI systems, websites, and other digital services may improve business operations or online visibility, but Nox Forge Labs does not guarantee specific search rankings, traffic levels, leads, revenue, sales, conversion rates, profitability, or other business outcomes. Search engines, advertising platforms, customers, competitors, market conditions, and third-party algorithms are outside Nox Forge Labs' control.
14. Intellectual Property
Unless otherwise stated in writing, the client retains ownership of content and intellectual property they provide.
Upon full payment for a project, the client owns the final custom deliverables created specifically for that project, except for:
- Nox Forge Labs' pre-existing materials
- reusable components
- frameworks
- templates
- libraries
- tools
- methods and general know-how
- third-party materials
Nox Forge Labs retains ownership of the materials listed above and grants the client the rights and license necessary to use them as incorporated into the final delivered project. Third-party software remains subject to its own original license.
15. Portfolio Use
Unless the client requests confidentiality in writing or a separate agreement states otherwise, Nox Forge Labs may identify completed public-facing work in its portfolio and may display publicly available screenshots, project descriptions, or links for promotional purposes. Private data, credentials, confidential business information, and non-public customer information will not be intentionally published for portfolio purposes.
16. Confidential Information
Nox Forge Labs will take reasonable measures to protect confidential information provided for the purpose of completing a project. Clients should not send passwords, private keys, payment-card information, or highly sensitive information through insecure communication channels. Confidentiality obligations do not apply to information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law.
17. Security
Reasonable security practices may be implemented as part of development work, but no website, network, application, server, or online system can be guaranteed to be completely secure. Clients remain responsible for maintaining appropriate credentials, account access controls, backups, security updates, and operational procedures after delivery unless ongoing management is specifically included in the service agreement.
18. Backups and Data
Unless backup management is specifically included in the agreed service, clients are responsible for maintaining appropriate backups of important business data. Nox Forge Labs is not responsible for permanent loss of data caused by third-party hosting failures, unauthorized account access, client actions, third-party services, or circumstances outside reasonable control.
19. Support and Maintenance
Project delivery does not automatically include indefinite maintenance or support. Ongoing maintenance, updates, monitoring, hosting administration, support, or additional development may require a separate service agreement or fee.
20. Suspension or Termination
Nox Forge Labs may suspend or terminate services when reasonably necessary because of nonpayment, unlawful activity, abusive conduct, security risks, misuse of services, repeated failure to provide required project materials, or material breach of these Terms. A client may cancel a project subject to any payment, cancellation, completed-work, or non-refundable-cost obligations already incurred, as described in Section 5.
21. Acceptable Use
Clients may not knowingly use services provided by Nox Forge Labs for unlawful activity, fraud, unauthorized access, malicious software, harassment, infringement of intellectual property rights, or other conduct prohibited by applicable law.
22. Warranties and Disclaimers
Except where expressly stated in writing or required by law, services are provided on an "as available" and "as is" basis. To the maximum extent permitted by applicable law, Nox Forge Labs disclaims implied warranties that are not expressly provided in the applicable project agreement.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Nox Forge Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, lost data, or interruption of business arising from the use of the services. Where liability cannot legally be excluded, Nox Forge Labs' aggregate liability relating to a particular project will not exceed the amount actually paid to Nox Forge Labs for the services giving rise to the claim, except where applicable law requires otherwise. Nothing in this section waives any right that cannot legally be waived under applicable consumer-protection law.
24. Indemnification
To the extent permitted by applicable law, the client agrees to indemnify and hold Nox Forge Labs harmless from claims arising from materials supplied by the client, unlawful use of delivered services, infringement caused by client-provided content, or instructions provided by the client that violate applicable law or third-party rights.
25. Force Majeure
Nox Forge Labs will not be responsible for delay or failure caused by circumstances reasonably outside its control, including natural disasters, internet or utility outages, war, civil disturbances, government actions, labor disruptions, cyberattacks, provider outages, or widespread infrastructure failures.
26. Changes to These Terms
These Terms may be updated from time to time. The current version will be posted on the Nox Forge Labs website with its effective date. Changes will apply prospectively unless applicable law requires otherwise.
27. Governing Law and Jurisdiction
These Terms and the services provided by Nox Forge Labs are governed by the applicable laws of the United Mexican States and the State of Baja California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
To the extent permitted by applicable law, disputes arising from these Terms or the services are submitted to the competent courts located in Tijuana, Baja California, Mexico, with any mandatory consumer-protection jurisdiction that cannot be waived under applicable law preserved.
